Terms of Service - Fixed Assets

1. Agreement to Terms

By accessing or using Fixed Assets ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Fixed Assets is a web-based depreciation calculation and tracking software designed for accounting professionals. The Service provides depreciation calculations, Form 4562 mapping, reporting, and data management features.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

Provide accurate and complete registration information
Maintain the security of your password
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Transmit any malicious code or harmful content

5. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to:

Authorize recurring charges until you cancel

Subscriptions renew automatically unless cancelled before the renewal date. Refunds are not provided for partial billing periods.

6. Free Trial

We offer a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service.

7. Data and Content

You retain ownership of all data you enter into the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

You are responsible for maintaining backups of your data. While we implement regular backups, we recommend exporting your data periodically.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or secure.

While we strive for accuracy in depreciation calculations, the Service is a tool to assist tax professionals. You are responsible for verifying calculations and making professional judgments about their application.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Fixed Assets and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may cancel your account at any time through your account settings.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
